These Terms of Service ("Terms") govern your access to and use of the OpticData platform operated by Hypergrowth Digital LLC ("we," "us," or "our"). By accessing or using OpticData, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the OpticData platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the platform.

2. Service Description

OpticData is an AI-powered analytics and optimization platform for ecommerce brands and media buyers. The platform provides:

• Unified dashboards aggregating data from advertising and ecommerce platforms
• AI-powered insights, recommendations, and conversational analysis (AI Operator)
• Automation rules for campaign management
• Creative generation and analysis tools (Creative Studio)
• Slack integration for team-based ad management
• Voice-controlled ad management ("Hey Optics")

3. Account Requirements

• You must be at least 18 years old to use OpticData
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the platform or its systems
• Interfere with or disrupt the platform's infrastructure
• Reverse engineer, decompile, or disassemble any part of the platform
• Use the platform to collect data about other users without their consent
• Share your account credentials with unauthorized parties
• Exceed reasonable usage limits or abuse API integrations

5. Data Ownership

You retain full ownership of your data. Specifically:

• Data you import from third-party platforms remains your data
• We do not claim ownership of your advertising data, analytics, or business information
• You grant us a limited license to process your data solely to provide the OpticData platform services
• Upon account deletion, we will delete your data in accordance with our Privacy Policy

6. AI Features Disclaimer

OpticData's AI features (AI Operator, Creative Studio, automation recommendations) are powered by third-party AI models. Please note:

• AI-generated insights and recommendations are not financial, legal, or professional advice
• AI outputs may contain errors or inaccuracies — always verify critical decisions
• Automated actions (campaign pauses, budget changes) are executed based on rules you configure — you are responsible for reviewing and approving these actions
• We are not liable for decisions made based on AI-generated recommendations

7. Third-Party Integrations

OpticData connects to third-party platforms (Meta, Google, TikTok, Shopify, Klaviyo, Checkout Champ). Your use of these integrations is also subject to the respective platform's terms of service. We are not responsible for the availability, accuracy, or policies of third-party platforms.

8. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted service
• We may perform scheduled maintenance with reasonable advance notice
• We are not liable for service interruptions caused by third-party platforms, network issues, or force majeure events
• Data sync frequency depends on third-party API rate limits and availability

9. Fees and Payment

Access to OpticData may require a paid subscription. Specific pricing terms will be communicated during onboarding. We reserve the right to modify pricing with 30 days' advance notice.

10. Limitation of Liability

To the maximum extent permitted by law:

• OpticData is provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from your use of OpticData shall not exceed the fees you paid in the 12 months preceding the claim
• We are not liable for losses resulting from AI recommendations, automated campaign actions, or data sync delays

11. Indemnification

You agree to indemnify and hold harmless Hypergrowth Digital LLC from any claims, damages, or expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

• You may terminate your account at any time through the platform settings or by contacting us
• We may suspend or terminate your account for violation of these Terms
• Upon termination, your right to use the platform ceases immediately
• We will delete your data within 30 days of account termination, per our Privacy Policy

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Florida.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on this page and updating the "Last updated" date. Continued use of the platform after changes constitutes acceptance of the revised Terms.
